      7.5 Quorum. A quorum shall consist of a majority of those members under oath to serve on the Committee. Those members present at
            the organization meeting shall constitute a quorum, provided that notice of said meeting was issued in following with the provisions
            set forth in these by-laws.

      7.6 Parliamentary Procedure "Robert's Rule of Order" shall govern the proceedings of all meetings of the Committee or its
            Subcommittees set forth in these by-laws.

      7.7 Order of Business. The order of business at regular meetings shall be:

            a. Call To Order.

            b. Roll Call

            c. Minutes

            d. Introduction of Guests

            e. Report from the Chair

            f. Report from the Treasurer

            g. Old Business

            g. New Business

            g. Public Comment

            g. Adjournment

      7.8 Proxies. Members shall be allowed to be present by proxy subject to the following conditions.

            a. No member shall be allowed to be present by proxy at more than two consecutive meetings of the Committee.

            b. No member shall be allowed to hold more than two proxies at any meeting of the committee.

            c. No member shall be present by proxy at any Subcommittee meeting of the committee.

            d. No member shall be allowed to vote by proxy in the election of officier or endorsement procedures.

ARTICLE VIII - POLICIES AND PROCEDURES

      8.1 The Committee shall adopt by two-thirds majority vote, written policies and procedures which shall encompass the entire
            operation of the Lafourche Democratic Party and the Committee. These policies and procedures shall include, but not limited to
            personnel, administrative and fiscal functions, as well as an endorsement process for candidates for elective office as Democrats.

      8.2 Any and all actions of the Committee relative to the above listed functions in 8.2 shall be referenced in the minutes according to the
            appropriate policy and procedure.

      8.3 In the absence of an applicable policy or procedure the Committee may take such action as is necessary for the operation of the
            Committee or the Party by a two-thirds vote. Said action shall become a policy or procedure of the Committee.

      8.4 Fiscal Year. The fiscal year of the Committee shall commence on January 1st and end on December 31st of each year.
